¿Has notado que ahora todos están hablando de los NFT y de cómo las personas están haciendo millones y millones de dólares con estos Tokens No Fungibles?
Es que es una realidad… en el último tiempo se ha transformado en una tendencia, donde ya no sólo expertos de la tecnología blockchain han puesto su interés, sino que personas de todos los rincones del mundo están expectantes de los nuevos avances y oportunidades que este sector está generando.
Así que, si estas al tanto de lo que está pasando con esta tecnología o si te acabas de enterar que existe algo que se llama NFT, este post es para ti.
Hablemos primero de qué son los NFT.
Los Non Fungible Token o NFT, como su traducción literal indica, son token no fungibles. Básicamente son un activo digital que tiene por finalidad representar en la blockchain objetos tanto del mundo digital y también del físico, gracias a sus características particulares.
Lo importante y, lo que permite diferenciarlo del resto de los token que existen en el ecosistema blockchain, son sus características particulares.
Aquí van algunas:
- Son únicos: El token que sustenta al NFT es uno sólo y no hay otro igual.Dado lo anterior, pueden existir muchos token pero, como un NFT en particular, ninguno. Esto se debe a que cada NFT contiene, dentro de otros aspectos, la individualización de la dirección del contrato, el ID del Token, el nombre que el creador le haya dado, la wallet del creador del NFT, etc.
- No son intercambiables: En el mundo jurídico, las cosas fungibles son aquellas que pueden sustituirse unas por otras. Por ejemplo, si tengo un billete de 1 dólar, lo puedo intercambiar por otro billete diferente de 1 dólar.En cambio, las cosas no fungibles (como los NFT) no tienen esa característica. Por ejemplo, no podría cambiar el cuadro de la Mona Lisa por alguna obra de Picasso, ya que son completamente distintas.
- No son replicables: Dado que el NFT es único, cualquier copia de este será sólo una copia.Esta es una tremenda característica ya que, en el mundo digital, es muy fácil copiar o replicar objetos como, por ejemplo, fotografías, audios, códigos, entre otros. En cambio, no ocurre lo mismo con los objetos físicos, como una escultura o la Mona Lisa. Si bien puedo encargarle a un artista que haga una replica idéntica, nunca va a tener la característica de ser la obra original.
- Entregan certeza de quién es el dueño de un NFT: Si lo llevamos al mundo análogo, existen determinadas formas de poder acreditar que soy dueño de una cosa.Por ejemplo, si soy accionista de una sociedad, puedo acreditar mi dominio con el contrato de compraventa o suscripción de acciones y, adicionalmente, con el Registro de Accionistas de esa sociedad.Lamentablemente, en el mundo digital ello no es tan sencillo. Si tomo una fotografía, no puedo acreditar fácilmente que esa imagen es mía.
Ahora, gracias a la tecnología blockchain, nosotros podemos certificar digitalmente y, a través de esta base de datos distribuida, quiénes son los dueños de cada NFT e incluso poder ir analizando los distintos traspasos de propiedad que ha tenido dichos token.
Las 3 primeras características mencionadas anteriormente generan uno de los efectos muy apreciado en el mercado: LA ESCASEZ. Éste es uno de los elementos que permite que dichos token se puedan vender, en algunos casos, a tan alto montos.
PERO…¿por qué es tan importante la escasez? Si lo analizamos desde la perspectiva cripto, lo explicaré tomando el caso de Bitcoin.
Una de sus características es que no se pueden emitir más criptomonedas que las establecidas en su protocolo – el cual contempla un total de casi 21.000.000 y, según los cálculos y la opinión de algunos expertos, ello se espera que ocurra para el año 2144.
Entonces, cuando llegue ese día, nunca más se volverán a emitir nuevas criptomonedas de Bitcoin, por tanto, su valor se incrementará a niveles insospechados debido al efecto de la escasez.
Además, Bitcoin rompe con una serie de paradigmas del mundo Fiat. Por ejemplo:
- La emisión de nuevos bitcoins es siempre decreciente producto de los Halving (lo explicaré en algún video o artículo);
- Al estar establecida la forma de emisión desde su concepción, no queda sujeto dicho proceso a políticas indiscriminadas o que se vean afectadas por circunstancias coyunturales, como ocurre con los Bancos Centrales de los países del mundo; entre otros aspectos.
Este factor de escasez es sólo uno de tantos que explican los aumentos exponenciales de valor de algunos NFT. Otras razones son, por ejemplo, el coleccionismo, formar parte de una comunidad, poder acceder a ciertos descuentos o beneficios exclusivo, entre otros.
Uno de los casos más emblemáticos de ventas de NFT, se produjo con el NFT del artista estadounidense Mike Winkelmann (Beeple). Él creó un NFT que se llama “Everydays: The First 5000 Days”, el cual consiste en un collage de 5.000 imágenes individuales que fueron recopiladas a lo largo de más de 13 años.

Ahora que ya sabemos que son los NFT y sus principales características, cabe preguntarse…¿hay aspectos legales importantes a destacar 🧐? Siiiii, Un montón!
Enunciaré solo algunos que, semanalmente, iré desarrollando con más detalle en cada una de estas publicaciones.
- Derechos de Propiedad Intelectual o Derechos de Autor. Los NFT, aunque no todos claramente, son obras artísticas que son susceptibles de ser protegidas. La gracia de los NFT para los artistas es que permite regular de buena forma derechos de autor y de propiedad intelectual que tienen plena aplicación práctica.
- Como consecuencia de lo anterior, permite la posibilidad de cobrar regalías en los distintos traspasos del NFT, por lo cual habría que tener en consideración los posibles efectos tributarios que la primera venta podría generar junto con la percepción de las regalías que vaya cobrando en el futuro.
- Según el tipo de NFT que se trate puede haber ciertos aspectos legales a considerar al emitir el token.Si estamos en presencia de un NFT que tiene por objetivo ser sólo un activo digital coleccionable, los puntos centrales son los derechos de autor y propiedad intelectual.Pero, será muy diferente los puntos a considerar si estamos en presencia de un Utility NFT, que son aquellos token no fungibles que le permiten al adquirente acceder a ciertos beneficios, descuentos, experiencias, entre otros.
Pensemos, por ejemplo, que el Utility NFT está destinado a obtener accesos a conciertos de un grupo de música. Es importante regular una serie de cosas tales como:
¿tendrá algún limite territorial el beneficio?;
¿cuántos conciertos al año? ¿todos o un número limitado?;
¿qué tipo de entrada le permite acceder al adquirente del NFT?;
¿tendrá otros beneficios adicionales, como meet and greet u otros?;
¿qué ocurre frente al fallecimiento del adquirente del NFT?;
¿qué ocurre si la banda se disuelve?, entre otros aspectos relevantes.
En definitiva, como toda aplicación nueva de una tecnología reciente, irán surgiendo determinados problemas o desafíos que serán necesarios descifrar e ir proponiendo soluciones creativas y que protejan a los usuarios del ecosistema blockchain. Ahora bien, si logramos hacerlo de manera preventiva y no esperar a que los problemas nos exploten en la cara, ¡mucho mejor!
